Since its initial promulgation in 1950, the Model Act has been subject to ongoing review and revision by the ABA Business Law Section’s Corporate Laws Committee. The Committee is committed to maintaining clear, concise drafting while ensuring the Act reflects developments in corporate law and market practice. Through periodic amendments, the Model Act has evolved significantly over time, with its most comprehensive revision occurring in 2016. Since then, additional amendments have been adopted to address emerging legal and market trends. This paperback edition includes the official text of all amendments through December 2025, along with the Official Commentary, a descriptive foreword, and a comprehensive index.
