Description
Advanced Corporation Law: A Practical Approach to Corporate Governance 2nd Edition Stephen M. Bainbridge ISBN 9798887861388
Corporate Governance, Second Edition addresses the growing importance of corporate governance in legal practice, particularly in light of major federal legislation such as the Sarbanes-Oxley Act (2002) and the Dodd-Frank Act (2010). These landmark laws have reshaped corporate law and generated significant new legal work, yet traditional business associations casebooks often give them only brief coverage. This text makes these laws the core focus, providing students and practitioners with in-depth, up-to-date guidance.
While covering the foundational laws typically addressed in a Business Associations course, the book also integrates additional regulatory sources, including stock exchange listing standards and rules issued by the Public Company Accounting Oversight Board and similar quasi-governmental bodies. Recognizing that effective practice requires more than legal knowledge, the text frequently references best practice guidance from law firm memoranda and other practical resources.
The Second Edition Updates Include:
-
Coverage of California’s board diversity legislation
-
Updated Caremark cases, including Marchand v. Barnhill and In re McDonald’s Shareholder Derivative Litigation as principal cases
-
New SEC releases addressing pay-versus-performance disclosure rules and the universal proxy card
-
Coster v. UIP Cos., Inc. added as a new principal case
Benefits for Professors and Students:

-
Integration of legal requirements with practical, real-world best practices
-
