Description
Mergers and Acquisitions: A Transactional Perspective 2nd Edition Stephen M. Bainbridge ISBN 9781642422498
This textbook is grounded in the belief that legal theory and legal practice are mutually reinforcing—nowhere more so than in mergers and acquisitions, where corporate lawyers must translate substantive legal doctrine into effective business advice. To that end, the book combines the most influential case law in M&A with clear textual explanations, sample agreement provisions, and modern teaching tools designed to deepen comprehension and prepare students for transactional practice.
The authors employ three core pedagogical approaches:
-
Targeted questions direct students’ attention to the most legally significant aspects of the cases and the principles underlying each topic area.
-
Problem-based exercises strengthen students’ ability to interpret and apply doctrine to new, practice-oriented scenarios similar to those encountered in real-world transactions.
-
Skills exercises offer efficient, hands-on training in essential M&A transactional skills within an authentic legal context.
The book is further supported by online, text-linked self-assessment quizzes that allow students to evaluate their understanding and reinforce learning throughout the course.

Rental Terms
Return by December 28, 2026 for Fall 2026 rentals.
- Late Fees
- Books returned after the semester deadline accrue a weekly late fee of about 10% of the book's Brand New price. Late fees stop once your book ships back or the total reaches the book's replacement value (its Brand New price) - you never pay more than that. We email a reminder 48 hours before any charge, and any late fees are charged to the payment method you save at checkout.
- Damage Fees
- Books returned damaged beyond normal classroom wear may be assessed a damage fee, capped at the book's replacement value (its Brand New price). Any damage fees are charged to the payment method you save at checkout after we inspect the returned book.
- Return Shipping
- Returning your book is free: print a prepaid label (USPS or UPS, whichever is cheaper for your package) from your account's My Rentals page, whether you send it back early or on the semester deadline. Cancelling a shipped rental for a refund is different: there, the return label cost comes out of your refund.
- 30-Day Cancellation
- Changed your mind? Cancel an active rental within 30 days of your order from My Account → My Rentals. Cancel before your book ships and it’s free; once it has shipped, we refund the rental price minus a 15% restocking fee and the return label cost, released once we receive your book. Shipping is non-refundable.
