Description
Business Organizations: A Contemporary Approach 5th Edition Frank Partnoy ISBN 9798317700256
Thoroughly updated to reflect the latest developments in business law, this popular and engaging casebook provides a modern framework for teaching Business Associations and Corporations. Combining doctrinal rigor with accessibility, it offers comprehensive coverage of core organizational forms, including agency, partnerships, and limited liability companies, while also introducing students to essential concepts in accounting, valuation, and capital structure.
The book devotes thoughtful and balanced attention to the most important debates in contemporary corporate law, including the evolving discussion surrounding corporate purpose and stakeholder governance. Chapters addressing fiduciary duties, controlling shareholders, shareholder information rights, and mergers and acquisitions have been extensively revised to incorporate recent Delaware statutory amendments, significant judicial decisions, updates to the Model Business Corporation Act, and the increasing competition among states to attract corporate incorporations.
Designed to promote active learning and classroom engagement, the text features clear explanatory breakout boxes, practical examples, and carefully crafted discussion questions that encourage students to connect legal doctrine with real-world business issues and policy considerations.
The fifth edition incorporates the latest business law developments. It features recent Delaware and federal judicial decisions; statutory and doctrinal developments in fiduciary duties, controlling shareholders, information rights, M&A, and more. The materials are organized so that professors can customize coverage to fit their preferences.

- Late Fees
- Books returned after the semester deadline accrue a weekly late fee of about 10% of the book's Brand New price. Late fees stop once your book ships back or the total reaches the book's replacement value (its Brand New price) - you never pay more than that. We email a reminder 48 hours before any charge, and any late fees are charged to the payment method you save at checkout.
- Damage Fees
- Books returned damaged beyond normal classroom wear may be assessed a damage fee, capped at the book's replacement value (its Brand New price). Any damage fees are charged to the payment method you save at checkout after we inspect the returned book.
- Return Shipping
- Returning your book is free: print a prepaid label (USPS or UPS, whichever is cheaper for your package) from your account's My Rentals page, whether you send it back early or on the semester deadline. Cancelling a shipped rental for a refund is different: there, the return label cost comes out of your refund.

Cancel before your book ships and it’s free; once it has shipped, we refund the rental price minus a 15% restocking fee and the return label cost, released once we receive your book.
