Description
Agency, Partnerships, and Limited Liability Entities: Cases and Materials on Unincorporated Business Associations 5th Edition Stephen M. Bainbridge ISBN 9781647085759
dissociation and dissolution were divided into two new sections, one of which deals with dissolution under the UPA (1914) and the other one of which deals with dissociation and dissolution under the UPA (1997).
This book brings together carefully edited cases, original commentary, questions, and problems for use in a law school course on agency, partnerships, and limited liability entities. A distinguishing feature of the casebook is its robust treatment of limited liability entities, with particular emphasis on unincorporated limited liability companies (LLCs).
The materials include extensive case coverage of core LLC issues such as formation, interpretation of operating agreements, piercing the LLC “veil,” fiduciary duties, member expulsion, and dissolution. The book also addresses whether membership interests in LLCs and limited partnerships constitute securities, a question of increasing practical importance.
This edition has been thoroughly updated to incorporate significant new cases and developments. In addition, the partnership chapter has been substantially reorganized to improve clarity and instructional flow. The treatment of dissociation and dissolution has been divided into two distinct sections: one addressing dissolution under the Uniform Partnership Act of 1914, and the other covering dissociation and dissolution under the Uniform Partnership Act of 1997.

Rental Terms
Return by December 28, 2026 for Fall 2026 rentals.
- Late Fees
- Books returned after the semester deadline accrue a weekly late fee of about 10% of the book's Brand New price, for each copy that is overdue. The rent you have already paid counts toward the book's replacement value (its Brand New price), so late fees stop once your rent plus late fees reach it. That replacement value is the most a rental can ever cost you. We email a reminder 48 hours before any charge, and any late fees are charged to the payment method you save at checkout.
- Damage Fees
- Books returned damaged beyond normal classroom wear may be assessed a damage fee, capped at the book's replacement value (its Brand New price). Any damage fees are charged to the payment method you save at checkout after we inspect the returned book.
- Return Shipping
- Returning your book is free: print a prepaid label (USPS or UPS, whichever is cheaper for your package) from your account's My Rentals page, whether you send it back early or on the semester deadline. Cancelling a shipped rental for a refund is different: there, the return label cost comes out of your refund.
- 30-Day Cancellation
- Changed your mind? Cancel an active rental within 30 days of your order from My Account → My Rentals. Cancel before your book ships and it’s free; once it has shipped, we refund the rental price minus a 15% restocking fee and the return label cost, released once we receive your book. Shipping is non-refundable.
