This is the nation’s first—and longest-standing—casebook on securities regulation. Now in its Fifteenth Edition, the book builds on the solid foundation of prior editions while incorporating the most current developments in the field. It presents a comprehensive collection of leading cases, regulatory materials, and scholarly notes. Though streamlined for improved usability, it continues to provide instructors and students with the full range of tools necessary for rigorous study and thoughtful analysis of securities regulation.

Since the publication of the Fourteenth Edition in 2021, the landscape of securities regulation has evolved significantly. Technological innovation, shifting market dynamics, and the SEC’s active regulatory and enforcement agenda have shaped much of the recent activity. The regulation of cryptocurrencies, tokens, and other digital assets has emerged as a particularly pressing issue, driven by events such as the FTX collapse and other high-profile failures. In response, the SEC has sharpened its focus on transparency, investor protection, and accountability.

Recent initiatives have included proposals to improve market transparency—such as enhanced disclosure requirements for SPACs, reforms to payment for order flow, and new rules related to climate-related disclosures. The climate-related disclosure rules, however, remain on hold pending ongoing litigation over the SEC’s rulemaking authority.

At the time of the last edition’s release, the SEC had just finalized a suite of regulatory changes easing restrictions on public and exempt offerings. These were noted in footnotes as pending proposals in the Fourteenth Edition; they are now incorporated (with updates) into the full text of this edition.

This casebook remains longer than many of its peers, but its length reflects our commitment to presenting the full historical and regulatory arc of U.S. securities law.
